Terms and Conditions
Acceptance of Terms
Māori Multimedia owns and provides this website, services and downloads that facilitate online Māori language and cultural education, information sharing and sales (collectively, the ‘Services). By accessing and using the Services in whole or in part you accept and agree to be bound by the terms set forth below (the “Terms of Use”) and shall be construed in accordance with the laws of New Zealand and you submit to the jurisdiction of the courts of New Zealand.
Use of Site
This site and its Services are provided solely for personal, educational, non commercial use by the users of our site. No exclusive right, title or interest in any materials or software is transferred to you as a result of the site or its Services. In accordance with these Terms of Use, you agree not use, copy, modify, reformat, rent, lease, frame, lend, create derivative works, publicly display, store, reproduce, transmit, provide links to, republish, upload, post, reprocess, make commercial use of, or distribute the Services in whole or part. Māori Multimedia reserves all rights not expressly granted in these Terms of Use.
Registration
To become a registered user you must complete the registration process by providing Māori Multimedia Ltd. with current complete and accurate information as prompted by the registration form. Māori Multimedia Ltd. reserves the right to reject any application.
Pricing and Payment Terms
Unless otherwise stated, all fees are in NZ dollars. By registering for a subscription, you authorise Māori Multimedia Ltd. to charge your account for the full amount of the subscription fee for such a service. Māori Mulitmedia Ltd. reserves the right, at any time and at its discretion, to change any fees and any other pricing terms. Any changes shall be posted on the Māori Multimedia Ltd. site and will be effective five (5) business days after such posting. All prices are GST inclusive.
If the user provides or uses incorrect credit card details for the purchase of any of our Services Māori Multimedia will not accept any responsibility for reimbursement to the credit card holder. Māori Multimedia Ltd. will not accept any mailing of cash for its Services and is not responsible for theft, loss or otherwise non-delivery of mailed cash.
Embeddable Player
As part of the Services, Māori Multimedia Ltd. provides an embeddable player that may be purchased by a “Producer” and which may be embedded in websites that are not owned by Māori Multimedia Ltd. “Producer” shall refer to users who may distribute the content provided in these Services. Māori Multimedia Ltd. reserves the right to revoke and restrict the use of the embeddable player to individuals within the Producer’s organization Subject to the terms and conditions of these Terms of Use, the Producer may not create derivative works, reproduce, provide links to, republish, rebrand, upload, post, reprocess, make commercial use of, or distribute the embeddable player, in whole or part, to any third party. The purchase of a limited, non-exclusive embeddable player may be determined by Māori Multimedia Ltd. and the Producer at a required fee.
Producer Responsibilities
As a Producer you are responsible for ensuring that you and/or your staff are qualified to offer the Producer Services and that you are capable of fulfilling the responsibilities associated with providing any such Producer Service. You agree that once you make a Producer Service available for enrollment and registration that you will manage, teach and administer the Producer Service, to the best of your abilities. You are responsible for all technological developments of the Producer Services on your website as well as the documents, materials, teaching resources, and marketing relating to those Producer Services on your website.
Changes to the Services
Māori Multimedia Ltd. has the right to change, modify, upgrade, add to, or discontinue the Services or any potion or feature thereof at any time without notice. Māori Multimedia Ltd. also reserves the right to assign any rights, licences, or obligations arising out of or relating to these Terms of Use or the Services without restriction.
Intellectual Property
Māori Multimedia Ltd. retains all rights in and to, including without limitation, publications, copyrights, patents, trade secrets, trademarks or service marks contained in or relating to the Services that are the exclusive property of Māori Multimedia Ltd. and/or its licensors. We do transfer any rights in or to Māori Multimedia Ltd. to you.
Content of the Services that incorporates or includes any of the Intellectual Property may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of Māori Multimedia Ltd. or the rightful owner, as applicable.
You understand that some or all of the materials you may be given or given access to through any Producer Services may be protected by copyright or other intellectual property protections. You agree that you shall not, nor shall you allow any third party to, copy, modify, claim as your or their own, distribute, reformat, or take any other action regarding such materials that infringes or may infringe on the intellectual property rights relating to those materials.
Warranty Disclaimer
The Services are provides ‘as is” with all faults and “as available” You agree that that your use of the Services shall be at your sole risk. Māori Multimedia Ltd. does not guarantee you will be able to access the Services at all times or places, that Māori Multimedia ltd. will have adequate capacity for all users, or that the Services will be operable with your equipment. Accordingly, Māori Multimedia does not accept any liability for damages whatsoever resulting from your use of the Services or any information contained on this site or for any adverse consequences arising out of such use.
